01 · Space Force · NSSL
National Security Space Launch Phase 3 is the ride. As of Sep 2026 SpaceX is the only company actively launching NSSL payloads after New Glenn’s May pad failure and Vulcan slips. Cadence is a monopoly, not a competitive lane.

02 · FAA
Even an NRO mission still needs a commercial launch license and a mishap process. The pad is dual-use. A grounded Falcon 9 is a grounded Starshield deploy.

03 · State / DDTC · ITAR
Launch vehicles, Raptor, and military-specific satellite features sit on the USML. Starshield is built as a military article. Tesla’s OTA stack and Giga Shanghai live in EAR-land. Mixing them is not a paperwork merge.

04 · NRO as operator
SpaceX builds. The United States owns. NRO tasks, downlinks, and classifies. Independent observers tagged ~227–235 Starshield-class birds by Sep 2026. SpaceX cannot “bring Starshield to Tesla” on a synergy slide.

05 · NTIA / classified spectrum
Starlink is FCC shells + ITU. Starshield spectrum is NTIA / national-security. Independent work in 2025 found ~170 then-known birds emitting in 2025–2110 MHz — an uplink-allocated S-band — without public ITU coordination. Transparency problem, not a dish fight.

06 · DCSA · FCL / FOCI
A facility clearance requires FOCI (Foreign Ownership, Control or Influence) inside DCSA rules. Tesla’s largest factory, a large China sales mix, and a China data footprint are a FOCI fact pattern. SF-328 is the form. A merged parent is a cleared company with a Party-class counterparty in the same org chart. The Feb 2026 Senate letter means this file is already open.

07 · CFIUS + NDAA
Staffers read Starshield + Tesla China, not the synergy slide. FY2026 NDAA tightened foreign-entity-of-concern language. Texas 2/3 shareholder law does not bind CFIUS. Mitigation is a proxy board, a Starshield carve-out, or a no.
DCSA does not care about the synergy slide. These are the collars that actually exist for a cleared contractor under foreign influence.

DCSA’s usual collar for a cleared subsidiary under foreign influence: outside directors, government security committee, excluded classified work from the foreign parent. “One company” dies at the org chart.

Harder collar. Voting power over the cleared entity is parked with US citizen proxies. Elon-on-both-sides becomes Elon-on-neither-side for Starshield. The merge story is then two companies with a shared logo.

Sell or spin the NRO work before the vote. The synergy slide loses its classified cash engine. SpaceX without Starshield is a launch co plus Starlink — still huge, no longer the FOCI pretzel.

CFIUS or DCSA simply refuses a China-exposed parent. chinaApproval in this OS defaults false for a reason. That is the silent killer, not a footnote under “regulatory path.”

The National Reconnaissance Office flies the proliferated LEO. SpaceX is the contractor. Independent catalogs ~227–235 Starshield-class birds by Sep 2026. NRO launches on Falcon 9 / Heavy continue through at least 2029; ~12 NRO missions were on the 2026 book.
04 · Hosted payloads
Optical, SIGINT, IR missile-warning. Northrop Grumman cited as payload partner. This is a bus program, not one sensor. SBA-MTI (airborne moving-target indicator) is a $4.16B Space Systems Command award (May 2026) in the Golden Dome stack.
05 · MILNET / PLEO / Golden Dome
Space Force money, NRO-managed. PLEO satellite-based services ceiling cited at $13B (10-year IDIQ). Enterprise Space Terminals (EST) with extra encryption, able to peer into Starlink. Financial terms for the core Starshield buy sit redacted in the SpaceX S-1.
06 · The merge collision
